Featured Subject Agreement

FEATURED SUBJECT AGREEMENT, CONSENT AND RELEASE

This Featured Subject Agreement, Consent and Release (the "Agreement") is entered into on the date of the last signature below (the "Effective Date") between the Publisher and the Featured Subject identified in Section 1.

1. Parties

1.1. Publisher. BRANDWORKSAPP LLC, a Florida limited liability company, Document No. L25000543729, filed December 3, 2025, doing business as Clirium's Magazine (fictitious name registration under Section 865.09, Florida Statutes, in process), with its principal address at 700 Siena Palm Dr, Suite 303, Celebration, FL 34747, USA (Osceola County), acting through its Manager, Vladlen Naydenov (the "Publisher"). Editorial office: press@cliriumsmagazine.com. Legal matters and personal data: support@cliriumsmagazine.com. Website: https://cliriumsmagazine.com (the "Website").

1.3. Editor-in-Chief. Victory Naydenova (Виктория Анатольевна Найденова) is the Editor-in-Chief of Clirium's Magazine and conducts interviews on behalf of the Publisher (the "Editor-in-Chief"). She signs this Agreement solely to give the acknowledgment set out after the signature blocks.

1.4. Definitions. "Magazine" means Clirium's Magazine, a monthly digital periodical published since January 2026 in numbered issues, in Russian and English, for readers aged 18 and over. "Feature" means the material about the Featured Subject prepared under this Agreement for publication in the Magazine, which may include a first-person story based on a personal interview with the Editor-in-Chief, a chronicle of changes, the Editor-in-Chief's commentary, a biographical note, and a cover with the Featured Subject's portrait. "Interview" means every conversation between the Featured Subject and the Editor-in-Chief or the Publisher's editorial team conducted for the Feature, online or in person. "Recordings" means audio and video recordings, transcripts and notes of the Interview. "Subject Materials" means photographs, images, texts, letters, documents and other materials created or owned by the Featured Subject (or by a third party who has authorized her) and provided by her to the Publisher. "Final Text" means the text of the Feature submitted to the Featured Subject for review under Section 7. "Business Day" means a day other than a Saturday, Sunday or U.S. federal holiday. "CLIRIUM® Channels" means the Website, https://victorynaydenova.com, https://book.clirium.me, https://app.clirium.me, the Telegram channel @clirium, and the official social media accounts of Clirium's Magazine and CLIRIUM® ME.

2. Track and Nature of the Feature

2.1. Track. The Feature is prepared under the following track (check one):

☐ Track A — CLIRIUM® ME Participant Story (section "Participant's Story"). The Featured Subject is or has been a participant in CLIRIUM® ME programs.

☐ Track B — Invited Heroine Interview (section "Interview"). The Featured Subject has been invited by the editorial team.

2.2. Editorial selection. Selection for publication, the issue in which the Feature appears, its length, structure, headline, illustrations and placement are at the Publisher's editorial discretion. This Agreement does not oblige the Publisher to publish the Feature.

2.3. Disclosure of connection (Track A). Clirium's Magazine and CLIRIUM® ME share a founder, the Editor-in-Chief. In Track A, the Featured Subject's participation in CLIRIUM® ME will be disclosed in the Feature. The Feature reflects the Featured Subject's personal experience and is not an independent assessment of the effectiveness of any program. CLIRIUM® ME services are not sold by the Magazine.

2.4. Process and timing. The ordinary process is: application, response, Interview (online or in person), review of the Final Text, publication. The ordinary period from application to publication is three to six weeks; this period is an estimate and not a binding deadline.

3. No Payment; Partner Materials

3.1. No payment either way. Publication in the Magazine's editorial sections is free of charge. The Featured Subject pays nothing to the Publisher, and the Publisher pays nothing to the Featured Subject, for the Interview, the Feature or the rights granted under this Agreement. No fee, discount, free service or other benefit is provided in exchange for the Feature. The Parties acknowledge that their mutual promises, the Publisher's editorial work and the publication of the Feature are adequate consideration for this Agreement.

3.2. Partner Agreement. Any partner format, sponsorship, paid placement or other arrangement involving payment in either direction requires a separate written agreement (a "Partner Agreement"). Material produced under a Partner Agreement is labeled "Partner content / Sponsored" in accordance with the FTC Endorsement Guides (16 CFR Part 255) and, where it is directed at consumers in the Russian Federation, is marked "Реклама" with the advertiser's details and an advertising identifier (erid) where required by Federal Law No. 38-FZ "On Advertising". If there is a conflict between a Partner Agreement and this Agreement concerning payment or labeling, the Partner Agreement controls; in all other respects this Agreement controls.

3.3. Editorial placement is not for sale. Nothing in a Partner Agreement entitles any person to control the Featured Subject's account or the editorial content of the Magazine outside the labeled partner material.

4. Interview and Recording Consent

4.1. Consent to recording. The Featured Subject consents to the audio and video recording of the Interview, whether conducted online or in person, and to its transcription. The Publisher records only with the knowledge and consent of all parties to the conversation, in accordance with Section 934.03, Florida Statutes, and any other applicable law requiring the consent of all parties. The Editor-in-Chief will announce the start of each recording, and the consent will be confirmed at the start of the Recording.

4.2. Other participants. If any other person takes part in the Interview, the Featured Subject will inform the Publisher in advance, and recording will proceed only with that person's consent.

4.3. Use of Recordings. Recordings are used for preparation of the Feature, verification of facts and quotations, and protection of the Parties' rights. Publication of audio or video excerpts (check one):

☐ Recordings are for internal editorial use only and will not be published.

☐ The Publisher may publish audio or video excerpts, provided each excerpt has been approved by the Featured Subject in writing (including by e-mail) before publication.

4.4. Retention of Recordings. Recordings are stored securely and kept for the life of the publication and at least seven years after removal of the Feature from the online archive (Editorial Charter, Art. 11.2), and are then deleted, unless a longer period is required to comply with law or to defend a pending or reasonably anticipated claim. If the Feature is not published, Recordings are deleted within twelve months after the Publisher's decision not to publish, unless the Featured Subject agrees to a longer period.

5. Voluntary Participation; Off the Record

5.1. The Featured Subject participates voluntarily and is free to decline any question, pause or end the Interview at any time without giving reasons.

5.2. Any statement that the Featured Subject expressly designates as "off the record", before or at the moment of making it, will not be published or attributed to her. The Featured Subject may also, during review under Section 7, request the removal of personal details she does not wish to disclose.

6. Warranties of the Featured Subject

6.1. Truthfulness. The Featured Subject warrants that the facts, dates, amounts and events she reports in the Interview and in the Subject Materials are, to the best of her knowledge, true and accurate, and that she will not knowingly make a false statement of fact about herself or any other person. Opinions and personal impressions will be presented as such.

6.2. Subject Materials. The Featured Subject warrants that she owns the Subject Materials or has the right to license them on the terms of this Agreement; that she has obtained the consent of any identifiable person depicted in a photograph she provides, or will notify the Publisher so that the person can be cropped out or obscured; and that the Subject Materials do not infringe any copyright, trademark, privacy, publicity or other right of any third party. Where a photograph was taken by a third-party photographer, the Featured Subject will provide the photographer's name for credit.

6.3. Age and capacity. The Featured Subject warrants that she is at least 18 years of age and has full legal capacity to enter into this Agreement.

6.4. No conflicting obligations. The Featured Subject warrants that she is not bound by any agreement (including any exclusivity or confidentiality obligation) that prevents her from giving the Interview or granting the rights under this Agreement.

6.5. Scope. The warranties in this Section 6 cover only the Featured Subject's own statements and the Subject Materials. They do not extend to headlines, editorial questions, the Editor-in-Chief's commentary, captions, design or any other content created or added by the Publisher.

7. Review of the Final Text

7.1. Submission. Before publication, the Publisher sends the Final Text to the Featured Subject's e-mail address in Section 1.2.

7.2. One round, five Business Days. The Featured Subject has one round of review and may return her comments within five (5) Business Days after the Final Text is sent.

7.3. Scope of comments. Comments are limited to (a) correction of factual inaccuracies, including names, dates, amounts and events; (b) correction of quotations that do not accurately convey what she said; and (c) removal of personal details or details identifying third parties that she does not consent to publish. The Featured Subject may point out factual inaccuracies about herself in the Editor-in-Chief's commentary, but the commentary otherwise remains the Editor-in-Chief's own opinion.

7.4. Editorial style. Editing serves clarity and does not alter the meaning of her statements. Style, structure, abridgment, headline, subheadings, illustrations, layout and the Editor-in-Chief's commentary remain with the Publisher. The Publisher will make every correction under Section 7.3(a)–(c) or, if it cannot do so, will not publish the affected passage.

7.5. Approval. The Featured Subject approves the Final Text by written confirmation (including by e-mail or messenger). If she does not respond within five (5) Business Days, the Publisher will send one reminder; the Publisher will not publish the Feature without her approval and may instead postpone the Feature to a later issue or decide not to publish it.

7.6. Changes after approval. After approval, the Publisher may make only non-substantive changes (typography, layout, proofreading, abridgment that does not alter meaning) and translation under Section 9. Any other change requires a new approval.

8. Ownership

8.1. Publisher's works. The Publisher owns all copyright and other rights in the Feature as an editorial work, including the text as prepared by the editorial team, editorial questions, the Editor-in-Chief's commentary, headlines, captions, translations, layout, design, the cover design, and any photographs or video produced by or commissioned by the Publisher, subject to the rights licensed by the Featured Subject under Section 9.

8.2. Featured Subject's materials. The Featured Subject (or the relevant third-party rights holder) retains all copyright in the Subject Materials. Nothing in this Agreement transfers ownership of the Subject Materials to the Publisher.

8.3. Her life and story. The Featured Subject remains free to tell her own life story, in her own words, anywhere and in any form.

9. License Granted by the Featured Subject

9.1. Grant. The Featured Subject grants the Publisher a non-exclusive, worldwide, royalty-free license, perpetual (for the full term of copyright and related rights, and without time limit as to name and likeness), to use, reproduce, publish, distribute, display, edit in accordance with Section 7, adapt for layout, and translate between Russian and English:

(a) her story, statements and quotations given in the Interview and approved in the Final Text;

(b) her name (in the form chosen in Section 1.2), likeness, portrait, image and voice (to the extent Section 4.3 permits), and biographical information included in the approved Final Text; and

(c) the Subject Materials.

9.2. Permitted uses. The license covers use:

(a) in the Magazine, online and in print (including print-on-demand and PDF editions), in Russian and English;

(b) in the Magazine's online and offline archive, back issues, anthologies, annual compilations and special editions;

(c) in promotion of the Magazine, the relevant issue and the Feature on the Website and CLIRIUM® Channels, including social media posts, newsletters, excerpts, quotations, previews, cover reproductions and short video or graphic formats;

(d) in the Publisher's and the Editor-in-Chief's professional portfolios, press kits, submissions for awards, and petitions or applications for professional or immigration recognition, as evidence of the Magazine's publications.

9.3. Attribution. Every use under this Section 9 will identify the Featured Subject by the name chosen in Section 1.2, and will credit photographers named under Section 6.2 where practicable.

9.4. Not an endorsement. The license does not include use of the Featured Subject's name, likeness or statements as a testimonial or endorsement in paid advertising of CLIRIUM® ME programs, books or any other goods or services. Any such use requires a separate written consent. Promotion of the Magazine and the Feature under Section 9.2(c), including on CLIRIUM® Channels, is not such advertising.

9.5. Cover and portrait visuals; generative AI.

(a) Consent. The Editor-in-Chief creates the Magazine's cover and illustrative portrait visuals with generative artificial intelligence tools (currently ChatGPT by OpenAI, L.L.C., on the Editor-in-Chief's personal paid plan), using photographs supplied by the Featured Subject ("AI Visuals"). Check one:

☐ I consent to the Publisher creating the cover and illustrative portraits of me from my photographs with generative AI tools, on the terms of this Section 9.5.

☐ I do not consent. The Publisher will use my photographs only as supplied, adapted as described in Section 9.5(h).

(b) Permitted stylization. AI Visuals may stylize the background, wardrobe, lighting, setting and magazine layout. They must remain a recognizable and dignified likeness of the Featured Subject, with no change to her body shape, age, ethnicity or identity, and must contain no nudity or sexually suggestive content.

(c) Approval of images. Before publication, the Publisher sends the final cover and the main images of the Feature to the Featured Subject's e-mail address in Section 1.2. She has one round of review and may respond within three (3) Business Days after they are sent. If she does not respond within that period, the images are deemed approved. She may reject any image without giving reasons, and a rejected image is not used in any form. As to images, this Section 9.5(c) prevails over Section 7.5.

(d) Disclosure. Each AI Visual is accompanied, in its caption or in the imprint of the issue, by the statement "Cover: AI-assisted visualization based on the subject's photographs" / «Обложка: визуализация с использованием ИИ на основе фотографий героини» or, for images other than the cover, "Illustration: AI-assisted visualization based on the subject's photographs" / «Иллюстрация: визуализация с использованием ИИ на основе фотографий героини».

(e) Tool safeguards. The Featured Subject's photographs are uploaded only to generative AI tools in which training of models on user content is disabled (for example, ChatGPT with the "Improve the model for everyone" setting turned off) or whose terms exclude such training. The tool provider is a third-party service provider that processes the uploaded photographs under its own terms and privacy policy, as described in Section 17.4.

(f) Her photographs. The Featured Subject warrants that she owns the photographs she supplies for AI Visuals or has permission from their rights holder to supply and use them for this purpose; Section 6.2 applies to these photographs.

(g) No AI training. Neither the Featured Subject's images (including her photographs and AI Visuals of her) nor her words (including the Interview, Recordings and her statements) will ever be used to train or fine-tune artificial intelligence models, by the Publisher or, through the settings and terms described in Section 9.5(e), by the tool providers it uses.

(h) Photographs used without AI generation. The Publisher may crop, resize, color-correct, retouch minor blemishes and adapt the background of photographs for layout, and will not alter the Featured Subject's facial features or body. Outside this Section 9.5, the Publisher will not create composite, synthetic or AI-generated images of the Featured Subject without her separate written consent.

9.6. Other languages. Translation into languages other than Russian and English requires the Featured Subject's consent, which may be given by e-mail.

9.7. Written consent under Florida law. This Section constitutes the Featured Subject's express written consent under Section 540.08, Florida Statutes, to the uses described in it.

9.8. Moral rights. To the extent permitted by applicable law, the Featured Subject consents to editing, abridgment, translation and adaptation of her statements for publication in accordance with Section 7, and her right of attribution is respected under Section 9.3.

10. Cover Image and Photographs

10.1. Cover. If the Feature is selected for the cover, the cover will bear the Featured Subject's portrait. The cover as a whole (design, typography, masthead, portrait as placed, and cover lines) is a work of the Publisher. The Featured Subject licenses the use of her likeness on the cover for all uses under Section 9.2, including reproduction of the cover in the archive, in promotion of the Magazine, in compilations, in exhibitions of covers and in the materials described in Section 9.2(d).

10.2. Ownership of the cover; her right to use it. The photographs supplied by the Featured Subject remain the property of the Featured Subject or their rights holder and are licensed under Section 9. The cover, the AI Visuals and any portrait produced or commissioned by the Publisher belong to the Publisher to the extent they are protectable by copyright or other rights under applicable law. The Publisher grants the Featured Subject a non-exclusive, royalty-free, worldwide, perpetual license to use her cover and the AI Visuals and portraits of her for personal and professional promotion, with credit to Clirium's Magazine (and the photographer, where applicable), but not for resale or licensing to third parties.

10.3. Approval of cover and images. The cover and the main images of the Feature are approved by the Featured Subject before publication under Section 9.5(c).

11. Featured Subject's Right to Republish

11.1. The Publisher grants the Featured Subject a non-exclusive, royalty-free, worldwide, perpetual license to republish the published Feature, in full or in excerpts, and the cover, on her personal website, blog, social media and in her professional self-presentation, provided that each republication (a) reproduces the approved text without alteration of meaning; (b) carries the credit "First published in Clirium's Magazine" with the issue number; and (c) includes an active link to the Feature on the Website where the medium allows links.

11.2. The Featured Subject may not sell the Feature, license it to third parties, or present it in a way that suggests that the Magazine or CLIRIUM® endorses her goods or services.

12. Trademarks

12.1. CLIRIUM® is a registered trademark owned by Victory Naydenova personally (including USPTO Reg. No. 8,374,768 and WIPO Int. Reg. No. 1885619) and used by the Publisher under license. This Agreement grants the Featured Subject no rights in the CLIRIUM® marks or in the name and logo of Clirium's Magazine, except the right to refer to the Magazine and to use the credit required by Section 11.

12.2. The Featured Subject may state truthfully that she was featured in Clirium's Magazine and, in Track A, that she participated in CLIRIUM® ME.

13. Health Information; No Medical Claims

13.1. No medical claims. The Magazine does not publish medical advice, diagnoses or promises of results. The Featured Subject agrees that her statements in the Feature describe her personal experience only, and she will not describe any program, method or product (including CLIRIUM® ME) as a treatment or cure for any disease, or promise readers any result. The Publisher will not present the Feature as evidence of the effectiveness of any program, and will accompany it with the Magazine's standard disclaimer that its content is not medical, psychological, psychotherapeutic, legal or financial advice and that described outcomes are not a promise or guarantee of similar results.

13.2. Health information. Information about the Featured Subject's physical or mental health is published only with her separate, explicit consent, and only to the extent it appears in the approved Final Text (check one):

13.3. For residents of the Russian Federation, the consent in Section 13.2 is valid only if also given in Part 3 of Annex A.

14. Third Parties Mentioned

14.1. The Featured Subject confirms that, in respect of every third party who is identifiable in her account (including family members, partners, former partners, children, employers and colleagues), either (a) she has obtained that person's consent to be mentioned, or (b) the person will be anonymized so that the person cannot reasonably be identified.

14.2. By default the Publisher anonymizes third parties by omitting or changing names, identifying details and images. Children are always anonymized. The Featured Subject will tell the Publisher, before or during review under Section 7, which persons have consented to be named.

14.3. If a third party objects after publication, the Publisher may amend, anonymize or temporarily hide the relevant part of the Feature pending resolution, and will inform the Featured Subject.

15. Defamation and Privacy Safeguards; Editorial Standards

15.1. The Publisher applies its Editorial Policy: the Featured Subject's account, editorial questions and the Editor-in-Chief's commentary are always distinguished; opinion is not presented as fact; material errors are corrected with a dated note.

15.2. The Publisher may omit, soften or anonymize any statement that, in its reasonable editorial judgment, could be defamatory, could place any person in a false light, could disclose private facts without consent, or could otherwise violate law. The Publisher will not add to the Feature any statement of fact attributed to the Featured Subject that she did not make.

15.3. The Featured Subject will not make statements of fact she knows to be false about identifiable persons, and will raise with the editorial team any accusation of unlawful conduct against an identifiable person so that it can be verified or anonymized.

15.4. Reader comments on the Feature are premoderated. At the Featured Subject's request, the Publisher will remove abusive comments and may disable comments on the Feature.

15.5. Nothing in this Agreement waives any protection available to either Party under the First Amendment to the U.S. Constitution, Article I, Section 4 of the Florida Constitution, or Chapter 770, Florida Statutes.

16. Conduct and Reputation

16.1. The Publisher may decline to publish, postpone, amend or remove the Feature if (a) a material statement of the Featured Subject proves to be false; (b) the Featured Subject breaches Section 6, 13.1 or 14; or (c) the Featured Subject becomes the subject of a criminal charge or a public controversy that, in the Publisher's reasonable judgment, makes publication inconsistent with the Magazine's editorial principles. The Publisher will notify the Featured Subject and, where reasonably possible, give her an opportunity to respond before removal.

16.2. The Featured Subject may request removal of the Feature under Section 20 if the Publisher, its Editor-in-Chief or the Magazine becomes the subject of circumstances that she reasonably considers damaging to her reputation by association.

16.3. Neither Party will make public statements that disparage the other in connection with the Feature. This does not restrict truthful statements, statements required by law, or reports to a data protection or other authority.

17. Personal Data — General

17.1. Controller. The Publisher is the controller (operator) of the Featured Subject's personal data processed under this Agreement. Contact: support@cliriumsmagazine.com.

17.2. Data processed. Data in Section 1.2; the Interview and Recordings; the Featured Subject's story, biography and statements; photographs and images; correspondence; and, only with consent under Section 13.2, health information.

17.3. Purposes. Preparing, reviewing, publishing and archiving the Feature; promoting the Magazine and the Feature under Section 9.2; communication with the Featured Subject; keeping records of consents; complying with law; and establishing, exercising or defending legal claims.

17.4. Recipients and transfers. Data is accessible to the Publisher's editorial team, including the Editor-in-Chief, and to service providers acting for the Publisher under confidentiality obligations (including hosting and database services of Google LLC via Firebase/Firestore, e-mail and newsletter services, and video-conferencing services used for the Interview). Where the Featured Subject has consented under Section 9.5(a), her photographs are uploaded by the Editor-in-Chief, through a personal paid ChatGPT plan, to generative AI tools of OpenAI, L.L.C. (USA), a third-party service provider that processes the uploaded photographs under its own terms of use and privacy policy, with the "Improve the model for everyone" setting (training of models on user content) turned off as described in Section 9.5(e). The Featured Subject expressly consents to this transfer of her photographs to OpenAI, L.L.C. and to their processing by OpenAI, L.L.C. on those terms. The Featured Subject consents to the transfer and processing of her personal data in the United States of America, where the Publisher and OpenAI, L.L.C. are established. Published parts of the Feature are, by their nature, available to the public worldwide.

17.5. Retention. Personal data forming part of the published Feature is kept for the life of the publication and its archive; records of consents are kept for the life of the publication and at least seven years after its removal from the archive; Recordings under Section 4.4; data of a Featured Subject whose Feature is not published is kept for no longer than twelve months.

17.6. Security. The Publisher maintains reasonable security measures, including those required by the Florida Information Protection Act of 2014 (Section 501.171, Florida Statutes).

17.7. Rights. The Featured Subject may access, correct and delete her data, restrict or object to processing, receive her data in a portable format and withdraw consent, as provided by applicable law, by writing to support@cliriumsmagazine.com. The Publisher responds within 30 days, or within a shorter period where applicable law requires.

17.8. The Publisher's Privacy Policy on the Website applies to matters not addressed in this Section; if there is a conflict, this Agreement controls.

18. Residents of the Russian Federation

18.1. If the Featured Subject is a citizen or resident of the Russian Federation, her consent to the processing of personal data, to cross-border transfer to the United States of America, to dissemination of personal data by publication, and (if given) to processing of health information, is given in the separate written consent in Annex A, in accordance with Articles 9, 10, 10.1 and 12 of Federal Law No. 152-FZ "On Personal Data". Annex A is executed in Russian only, forms part of this Agreement, and may be withdrawn in accordance with its terms.

18.2. Health information is processed only with the separate written consent in Part 3 of Annex A.

18.3. By signing this Agreement, the Featured Subject also gives consent under Article 152.1 of the Civil Code of the Russian Federation to publication and use of her image as described in Sections 9 and 10.

18.4. The Publisher complies with the requirements of Federal Law No. 152-FZ to the extent they apply to it, including the time limits for responding to requests and for ceasing dissemination set out in Annex A.

19. Residents of the European Union and the United Kingdom

19.1. If the Featured Subject resides in the European Union or the United Kingdom, the Publisher processes her personal data under the GDPR or the UK GDPR, as applicable, on the following legal bases: performance of this Agreement (Article 6(1)(b)) for preparing and publishing the Feature; her consent (Article 6(1)(a)) for Recordings, publication of her name, likeness and biography and promotional uses; the Publisher's legitimate interests (Article 6(1)(f)) in keeping records of consents and defending legal claims; and compliance with legal obligations (Article 6(1)(c)). Health information is processed only on the basis of her explicit consent under Article 9(2)(a), given in Section 13.2.

19.2. The Publisher collects the data directly in the United States. To the extent Chapter V of the GDPR or UK GDPR applies to any transfer, the transfer relies on Standard Contractual Clauses (and, for the United Kingdom, the UK International Data Transfer Addendum) or, where these are not available, on the Featured Subject's explicit consent under Article 49(1)(a), given by signing this Agreement after being informed that the United States may not provide a level of data protection equivalent to that in the European Union or the United Kingdom.

19.3. The Featured Subject has the rights described in Section 17.7 and the right to lodge a complaint with a supervisory authority in her country of residence. Withdrawal of consent does not affect the lawfulness of processing before withdrawal.

20. Withdrawal and Removal

20.1. Before publication. The Featured Subject may withdraw from the Feature at any time before publication, without giving reasons and without liability, by e-mail to support@cliriumsmagazine.com with the subject "Contributor". The Publisher will then not publish the Feature and will delete the Recordings and Subject Materials within 30 days, except records of the consent and of the withdrawal.

20.2. After publication. After publication, the Featured Subject may request that the Feature be removed from the Website and CLIRIUM® Channels or anonymized. The Publisher acknowledges each request within 10 Business Days and completes it within 30 days of receipt.

20.3. Exceptions. Removal and anonymization do not extend to: (a) printed copies and PDF or other copies already distributed to readers; (b) posts, reposts, press coverage and other materials already distributed or published by third parties outside the Publisher's control; (c) backup copies, which are overwritten in the ordinary backup cycle and are not used for publication; (d) copies deposited with libraries or registration authorities where required by law; and (e) records the Publisher keeps under Section 17.5 to demonstrate consent and to defend legal claims. The Publisher will not produce new printed copies or new promotional uses of a removed Feature.

20.4. Residents of the Russian Federation. For a Featured Subject who is a citizen or resident of the Russian Federation, a demand to stop dissemination of personal data is carried out within the period set by Article 10.1 of Federal Law No. 152-FZ, as stated in Annex A, and prevails over Section 20.2.

20.5. Effect. Withdrawal of consent or removal does not affect the lawfulness of prior publication or uses, and does not terminate the Parties' obligations under Sections 6.5, 15.5, 21, 22, 23 and 25.

21. Confidentiality

21.1. Publisher. The Publisher keeps confidential all unpublished materials: Recordings, transcripts, drafts, correspondence, Subject Materials not selected for publication, statements designated off the record, and personal data not included in the Feature. They are not disclosed to any third party except to service providers under Section 17.4, when required by law or court order, or to defend a legal claim.

21.2. Featured Subject. Until publication, the Featured Subject will not publish or share the Final Text or drafts, other than with her legal adviser or with third parties named in the Feature for the purpose of obtaining their consent.

21.3. These obligations survive termination of this Agreement.

22. Indemnity

22.1. By the Featured Subject. The Featured Subject will indemnify the Publisher against third-party claims, and resulting losses, damages and reasonable attorneys' fees, to the extent they arise from (a) a statement of fact made by the Featured Subject that appears in the approved Final Text and that she knew, or reasonably should have known, to be false; or (b) Subject Materials that infringe the rights of a third party. This indemnity is limited to the Featured Subject's own statements and Subject Materials and does not extend to any content created, added or altered by the Publisher, or to any statement the Publisher chose to publish despite being informed by the Featured Subject of its inaccuracy.

22.2. By the Publisher. The Publisher will indemnify the Featured Subject against third-party claims, and resulting losses, damages and reasonable attorneys' fees, to the extent they arise from content created, added or altered by the Publisher without her approval, including headlines, captions, the Editor-in-Chief's commentary, and changes made in breach of Section 7.

22.3. Procedure. The indemnified Party will promptly notify the other Party of a claim, allow it to control the defense with counsel reasonably acceptable to the indemnified Party, and cooperate reasonably. No settlement that admits fault on behalf of the indemnified Party may be made without its consent.

23. Limitation of Liability

23.1. Neither Party is liable to the other for indirect, incidental, consequential, special, exemplary or punitive damages, or for loss of profits, arising out of this Agreement.

23.2. The Publisher's aggregate liability to the Featured Subject under this Agreement will not exceed the greater of one thousand U.S. dollars (US$1,000) or the amount paid under any Partner Agreement in the twelve months before the claim.

23.3. The Publisher is not liable for reproduction of the Feature by third parties without its authorization, but will cooperate reasonably, including by sending takedown notices, where the Featured Subject so requests.

23.4. Sections 23.1 and 23.2 do not apply to liability for fraud, willful misconduct or gross negligence, to the indemnities in Section 22, to breach of Section 21, or to any liability that cannot be limited under applicable law, including mandatory data protection law.

24. Term and Survival

24.1. This Agreement takes effect on the Effective Date and continues for as long as any license under Section 9, 10 or 11 remains in effect.

24.2. The licenses in Sections 9 and 10 are irrevocable except as provided in Section 20 and in Annex A.

24.3. Sections 6.5, 8, 11, 15.5, 17.5, 20.3, 20.5, 21, 22, 23, 25 and 29 survive any termination or withdrawal.

25. Governing Law; Mediation; Venue

25.1. Governing law. This Agreement is governed by the laws of the State of Florida and applicable federal law of the United States of America, without regard to conflict-of-laws rules. This does not deprive the Featured Subject of the protection of mandatory data protection law of her country of residence that cannot be excluded by agreement.

25.2. Online mediation first (option). Before starting litigation, either Party may, by written notice, require that the dispute be submitted to mediation conducted online (by video conference) by a mediator certified by the Supreme Court of Florida and agreed by the Parties. If this option is exercised, neither Party will start litigation until 45 days after the notice, unless the other Party fails to participate in good faith. The Publisher pays the mediator's fees; each Party bears its own costs. Mediation communications are confidential under the Florida Mediation Confidentiality and Privilege Act (Sections 44.401–44.406, Florida Statutes). This Section does not prevent either Party from seeking urgent injunctive relief.

25.3. Venue. The state courts of the Ninth Judicial Circuit in and for Osceola County, Florida, and the United States District Court for the Middle District of Florida, Orlando Division, have exclusive jurisdiction over any dispute arising out of or relating to this Agreement, and the Parties consent to the personal jurisdiction of these courts.

26. Notices

26.1. Notices under this Agreement are given in writing by e-mail: to the Publisher at support@cliriumsmagazine.com (legal matters, personal data, withdrawal) with a copy to press@cliriumsmagazine.com (editorial matters); to the Featured Subject at the e-mail address in Section 1.2. Either Party may change its address by notice.

26.2. A notice is deemed received on the Business Day after it is sent, unless the sender receives a delivery failure message.

27. Electronic Signature

27.1. This Agreement may be signed electronically, including through an electronic signature service, by typing a name with an expressed intent to sign, or by signing a scanned copy sent from the e-mail address in Section 1.2. An electronic signature is valid and binding and has the same effect as a handwritten signature under the Florida Uniform Electronic Transaction Act (Section 668.50, Florida Statutes) and the Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.).

27.2. For purposes of Federal Law No. 63-FZ "On Electronic Signature" of the Russian Federation, the Parties agree that a simple electronic signature — the act of signing described in Section 27.1 from the e-mail address in Section 1.2, which identifies the signatory — is recognized as equivalent to a handwritten signature for this Agreement and Annex A.

27.3. This Agreement may be signed in counterparts, each of which is an original, and together form one instrument.

28. Languages

28.1. This Agreement is made in English and Russian. The English version controls; the Russian version is a translation provided for convenience.

28.2. Annex A is executed in Russian only; its Russian text is its only text and controls in respect of the consents given in it.

29. Miscellaneous

29.1. Entire agreement. This Agreement, including Annex A, is the entire agreement between the Parties concerning the Feature and supersedes all prior understandings concerning it, including any consent given in correspondence or during the Interview, and the Contributor Terms & Release published on the Website as applied to the Featured Subject. A Partner Agreement, if any, governs as stated in Section 3.2.

29.2. Amendments and waivers. Amendments must be in writing and signed (including electronically) by both Parties. Consents that this Agreement permits by e-mail may be given by e-mail. A failure to enforce a provision is not a waiver.

29.3. Severability. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remainder of the Agreement remains in effect.

29.4. Assignment. The Publisher may assign this Agreement to a successor to the business of the Magazine that assumes its obligations, and will notify the Featured Subject. The Featured Subject may not assign this Agreement.

29.5. Independent parties. Nothing in this Agreement creates an employment, partnership, agency or joint venture relationship.

29.6. Headings. Headings are for convenience only.

I created this magazine so women could tell their own stories — what they’ve achieved and what they’re capable of — and so that nothing would keep them from being themselves. Why the magazine exists and who is behind every issue, in the words of Editor-in-Chief Victory Naydenova.

I n January 2026, Victory Naydenova published the letter that launched the magazine. It was called “More Than Roles,” and it held the publication’s central promise: here, a woman has room for her whole life — for the woman confidently building her own business, and for the one who is only just finding the courage to say what she wants out loud.

Since then, Clirium’s Magazine has come out once a month. Each issue features one woman, her chronicle of change, and the Editor-in-Chief’s perspective. Twelve issues — twelve different ways to reclaim authorship of your own life.

Why the magazine exists

“I created this magazine so women could tell their own stories — what they’ve achieved and what they’re capable of. And so that nothing could keep them from being themselves.”

“I created Clirium’s Magazine for women who want to hear themselves and see how others find their way,” says Victory. The magazine was conceived as the opposite of glossy media: facts instead of promises, and instead of picture-perfect biographies, decisions that didn’t come easy.

Every story is told in the first person — with dates, figures, and the cost of every step. Each piece begins with a conversation: Victory conducts the interview, asks the uncomfortable questions, and writes the story herself, preserving the woman’s own voice.

What It’s About

The magazine has three sections. Member Stories — women of CLIRIUM® ME who stopped waiting: leaving relationships, starting businesses, reclaiming their bodies and their income. Interviews with Remarkable Women — long conversations with our guests about business, the body, relationships, and inner strength. Victory’s Column — her perspective as a psychologist and hypnotherapist: why understanding isn’t enough, how self-regulation works, and what quality of life is made of.

Meet the Editor-in-Chief

Victory Naydenova is a writer, psychologist, and hypnotherapist, and the founder of CLIRIUM® ME. Her path began with a fascination with human psychology, the body, and feminine nature; over years of practice it grew into an ecosystem: the CLIRIUM® ME platform, a publishing house, an app, and Clirium’s Magazine.

More than fifteen years in practice, seven published books, and over ten thousand participants in CLIRIUM® programs. Full member of the Professional Psychotherapeutic League (OPPL), certified by the National Guild of Hypnotists and the American Academy of Hypnosis; the CLIRIUM® trademark is registered with WIPO and the USPTO.
